Terms and conditions governing your use of OmniLink services, APIs, and platforms operated by Deis Technologies (Pty) Ltd.
1. Agreement to Terms
By accessing or using the services provided by Deis Technologies (Pty) Ltd ("Deis Technologies," "we," "us," or "our"), including the OmniLink platform, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use our services.
These Terms apply to all users of our APIs, platforms, and services, including the OmniLink messaging and payments platform, WhatsApp Business API integrations, customers, developers, and any other parties who access our technology solutions.
2. Description of Services
API and Platform Services
Deis Technologies provides the OmniLink platform - an omni-channel messaging, commerce, and payments solution that leverages WhatsApp Business API, AI-powered document processing, identity verification, compliance management, and financial technology services through APIs and web-based platforms. Our services include, but are not limited to:
- OmniLink Messaging Platform - WhatsApp Business API, campaigns, templates, and inbox management
- Pay By Link - Payment collection via messaging channels
- Scan to Pay - QR-code based payment solutions
- Commerce - Product catalogues and order management via WhatsApp
- Contact Management - Customer data management and bulk import
- Analytics & Reporting - Campaign performance and usage analytics
3. Acceptable Use
Permitted Uses
- Accessing services through provided APIs using valid credentials
- Sending messages for legitimate business purposes with user consent
- Processing payments through approved payment channels
- Integrating services into your own applications as documented
- Managing customer contacts with appropriate data subject consent
Prohibited Uses
- Attempting to reverse-engineer, decompile, or access source code
- Sending spam, unsolicited messages, or phishing content
- Sharing API credentials with unauthorized third parties
- Exceeding rate limits or attempting to circumvent usage restrictions
- Using services for illegal activities or to process fraudulent transactions
- Reselling or redistributing services without authorization
- Violating WhatsApp Business Policy or Meta Platform Terms
3b. Meta Platform Compliance
By using OmniLink services that integrate with Meta Products (including WhatsApp Business API), you acknowledge and agree to the following:
- You will comply with the Meta Platform Terms and Developer Policies in connection with your use of Platform Data.
- You will not process Platform Data for purposes prohibited by Meta, including surveillance, discrimination, selling or licensing Platform Data, or making eligibility determinations.
- You will obtain and maintain legally sufficient consent or opt-in from end users before sending messages via WhatsApp or other Meta messaging channels.
- You will immediately respect all requests by end users to opt out of messaging and will provide an appropriate opt-out mechanism.
- You will promptly comply with data deletion requests from end users or as directed by Meta.
- In the event of any conflict between these Terms and the Meta Platform Terms, the terms that are more restrictive on you or more protective of Meta shall apply.
4. Intellectual Property
Our Intellectual Property: All intellectual property rights in our services, including software, APIs, algorithms, models, documentation, trademarks, and trade secrets, are and remain the exclusive property of Deis Technologies. Nothing in these Terms grants you any right to use our intellectual property except as expressly authorized.
Your Content: You retain all ownership rights in the messages, documents, and data you submit through the platform ("Your Content"). By using our services, you grant us a limited license to process Your Content solely for the purpose of providing the requested services.
Output Data: The results generated by our services (such as delivery reports, analytics, payment confirmations, or campaign results) are provided to you for your use, subject to these Terms.
Feedback: Any feedback, suggestions, or improvements you provide regarding our services may be used by Deis Technologies without obligation or compensation to you.
5. Limitation of Liability
Disclaimer of Warranties: Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Damages: To the maximum extent permitted by law, Deis Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from: your access to or use of, or inability to access or use, the services; any errors or inaccuracies in the service output; unauthorized access to your data or transmissions; message delivery failures or delays; or any third-party conduct or content.
Cap on Liability: Our total liability for any claims arising from or related to these Terms or the services shall not exceed the amounts paid by you to Deis Technologies during the twelve (12) months preceding the claim.
6. Governing Law
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.
Jurisdiction: You agree that any legal action or proceeding arising out of or relating to these Terms or the services shall be brought exclusively in the courts of the Republic of South Africa, and you consent to the personal jurisdiction of such courts.
Dispute Resolution: Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute in good faith within thirty (30) days.
7. Termination
Termination by You: You may stop using our services at any time. If you have a subscription or contract, termination will be subject to the terms of that agreement.
Termination by Us: We may suspend or terminate your access to the services immediately, without prior notice or liability, for any reason, including but not limited to: breach of these Terms; non-payment of fees; suspected fraudulent or illegal activity; violation of WhatsApp Business Policy; or at our discretion for any business reason.
Effect of Termination: Upon termination, your right to use the services will immediately cease. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will survive.
8. General Provisions
Modifications: We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through other appropriate means. Your continued use of the services after such changes constitutes acceptance of the modified Terms.
Entire Agreement: These Terms, together with any applicable service agreements, constitute the entire agreement between you and Deis Technologies regarding the services and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
